1. Acceptance of Terms

By accessing and using Invoice Email ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, please do not use our Service.

2. Description of Service

Invoice Email provides invoice automation and AP (Accounts Payable) automation services, including:

• Automated invoice data extraction using AI and OCR technology
• QuickBooks Online integration and invoice automation
• Email-based invoice processing
• Vendor management
• Invoice approval workflows

3. User Accounts

To use our Service, you must:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Be at least 18 years old or have parental consent
• Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account.

4. Subscription and Billing

Invoice Email offers multiple subscription tiers:

• Free Plan: 10 invoices per month with all core features
• Starter Plan: $19/month for 100 invoices per month
• Professional Plan: $49/month for 300 invoices per month

By subscribing to a paid plan, you agree to:

• Pay all subscription fees
• Automatic monthly recurring billing
• That fees are non-refundable except where required by law
• Price changes will be communicated 30 days in advance

5. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will not be charged for subsequent billing periods
• Your account will be downgraded to the Free plan
• No refunds will be provided for partial months

6. Usage Limits and Fair Use

Each subscription plan includes a monthly invoice processing limit. You agree to:

• Not exceed your plan's monthly invoice limit
• Not abuse or attempt to circumvent usage limits
• Not use the Service for illegal or unauthorized purposes
• Not transmit malware, viruses, or malicious code

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We:

• Process invoice data to provide the Service
• Store your data securely using industry-standard encryption
• Do not sell your personal information to third parties
• Share data only with service providers necessary to operate the Service (Stripe, Google Cloud, QuickBooks)

8. Third-Party Integrations

Invoice Email integrates with third-party services including:

• QuickBooks Online: For invoice synchronization and AP automation
• Stripe: For payment processing
• Google Document AI: For invoice data extraction
• Mailgun: For email forwarding

Your use of these services is subject to their respective terms and conditions. We are not responsible for the availability or performance of third-party services.

9. Intellectual Property

All content, features, and functionality of the Service are owned by Invoice Email and are protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute our software or content
• Reverse engineer or attempt to extract source code
• Remove copyright or proprietary notices
• Use our branding without written permission

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted or error-free
• Data extraction will be 100% accurate
• The Service will meet your specific requirements
• Defects will be corrected

You are responsible for reviewing and verifying all extracted invoice data before approving or syncing to QuickBooks.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVOICE EMAIL SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Errors in invoice data extraction or processing
• Issues arising from third-party service failures

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

12. Termination

We may suspend or terminate your account if you:

• Violate these Terms and Conditions
• Use the Service for illegal purposes
• Abuse or attempt to exploit the Service
• Fail to pay subscription fees

Upon termination, your right to use the Service will immediately cease, and we may delete your data after 30 days.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
